USAGE LICENCE

1. DEFINITIONS

   In this Agreement the following expressions have the following meanings:

   1. “Agreement” this agreement.
   2. “Logical Office” - Logical Office Limited.
   3. “You/you/End-User” - an individual, Sole Trader, Limited Company/LLP/PLC, Partnership, Barristers Chambers or other legal or business entities existing from time to time.
   4. “Web Site” the web site known as www.docu-crypt.com

2. LICENCE

   1. Logical Office grants you non-exclusive licence to use the Web Site free of charge for such time as the Web Site is active and operational.
   2. This Licence is for your benefit only, whether you are a business entity, an individual, or a group of individuals in which case these terms shall apply jointly and severally to you and all your associates.

3. PERMITTED USE

   1. The Web Site is to be used to encrypt and decrypt documents which you can send to others or save on your own media. Documents can be any type of file which can be encrypted.
   2. You should not use this site to encrypt documents supporting any illegal activities.
   3. You are responsible for the creation and recollection of all encryption codes for your documents.
   4. Logical Office will be under no obligation to make enhancements to the Web Site but may at its discretion make improvements from time to time.
   5. The Intellectual Property Rights, Software, Design, Techniques, and Copyright of the Web Site remain the exclusive property of Logical Office at all times and this Agreement does not confer on you any rights to these whatsoever.
   6. You can recommend the Web Site to other End-Users without limitation.

4. DISCLAIMER

   1. Logical Office does not warrant that the Web Site will meet your requirements or that its operation will be uninterrupted or error free. Logical Office excludes and hereby expressly disclaims all express and implied warranties or conditions not stated herein, so far as such exclusion is or disclaimer is permitted under applicable law.
   2. Logical Office does not guarantee any period of availability of the Web Site, and may at its discretion discontinue it at any time without prior notice. Hence keeping copies of original documents in their un-encrypted format is recommended.
   3. Should the Web Site be unavailable for technical or maintenance reasons, you should use alternative methods for encrypting your documents.

5. SUPPORT

   1. If you experience problems with this Web Site then you may report such problems to Logical Office by e-mail at support@logicaloffice.com
   2. Logical Office is not obliged to assist with any problems associated with the use of the Web Site, and will charge in advance should you require support.
   3. Should the Web Site be unavailable for technical or maintenance reasons, you should use alternative method
   4. Logical Office will not respond to support problems in any specific time frame, if at all. The simplicity of the Web Site is sufficient to anticipate that support is not necessary.
   5. Logical Office will not provide free training on the Web Site, but may at its discretion offer such training as a chargeable service at the rates which apply from time to time.

6. LIMITATION OF LIABILITY

   1. The following provisions set out Logical Office’s entire liability (including any liability for the acts and omissions of our employees, agents or sub-contractors) to you in respect of:
      1. Any breach of Logical Office’s contractual obligations arising under this Agreement; and
      2. Any representation statement or tortious act or omission including negligence arising under or in connection with this Agreement
   2. Any act or omission on the part of Logical Office or its employees agents or sub-contractors falling within clause 6.1 above shall for the purposes of this clause be known as an “Event of Default” but excluding any event falling within clause 6.3 in respect of which the limitations and restrictions in this clause 6 shall not apply.
   3. Nothing in this Agreement shall limit or restrict Logical Office’s liability to you for fraud in the performance of this Agreement or for death or personal injury resulting from its own or that of its employees’, agents’ or sub-contractors’ negligence.
   4. Subject to the limits set out in clause 6.5 below Logical Office shall accept liability to you in respect of damage to your tangible property resulting from the negligence of Logical Office or its employees, agents or sub-contractors.
   5. Subject to the provisions of clause 6.3 above Logical Office’s entire liability in respect of any Event of Default shall be limited to damages of an amount equal to £100,000 in the case of an Event of Default falling within clause 6.4;
   6. Logical Office shall not be liable to you in respect of any Event of Default for loss of profits, anticipated savings or revenue, loss of data, goodwill or any type of special indirect or consequential loss (including loss or damage suffered by you as a result of any action brought by a third party) even if such loss was reasonably foreseeable or Logical Office had been advised of the possibility of you incurring the same.
   7. If a number of Events of Default give rise substantially to the same loss then they shall be regarded as giving rise to only one claim under this Agreement.
   8. You hereby agree to afford Logical Office not less than ninety (90) days (following notification thereof by you) in which to remedy any Event of Default hereunder.
   9. Except in the case of an Event of Default arising under clause 6.3 Logical Office shall have no liability to you in respect of any Event of Default unless you shall have served notice of the same upon Logical Office within two (2) years of the date you became aware of the circumstances giving rise to the Event of Default or the date when it ought reasonably to have become so aware.
   10. Nothing in this clause shall confer any right or remedy upon you to which you would not otherwise be legally entitled.
   11. Logical Office will not be liable in any circumstances for any losses caused by use of the Web Site prohibited by this Agreement.

7. SEVERABILITY

   If any term or provision in this Agreement shall be held to be illegal or unenforceable in whole or in part, under any enactment or rule of law, such term or provision or part shall to that extent be deemed not to form part of this Agreement but the validity and enforceability of the remainder of this Agreement shall not be affected.

8. ENTIRE AGREEMENT

   You have read and understand this Agreement and, agree that it constitutes the complete and exclusive statement of the agreement between us with respect to the subject matter hereof and supersedes all proposals, representations, understandings and prior agreements, whether oral or written, and all other communications between the parties relating to this subject unless made fraudulently.

9. FORCE MAJEURE

   Logical Office shall not be responsible for any failure to meet the provisions of this Agreement due to unforeseen circumstances or to causes beyond its control, including but not limited to failure of the internet, acts of God, war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labour or materials.

10. THIRD PARTIES

    1. Subject to clause 10.2, a person who is not a party to this Agreement has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement but this does not affect any right or remedy of a third party which exists or is available apart from that Act.
    2. The successors and permitted assignees of Logical Office shall be entitled to enforce the terms of this Agreement.

11. LAW AND DISPUTES

    This Agreement shall be governed by and construed in accordance with English law and the parties irrevocably submit to the non-exclusive jurisdiction of the English courts.

FREQUENTLY ASKED QUESTIONS

Q. What is this web site used for?

A. To encrypt files to the highest security level.

Q. What happens if I forget a key?

A. You’ll never be able to decrypt the document. That’s why we advise keeping the original files and making sure you record keys.

Q. Why do I need encryption? Why can’t I just password protect my files?

A. Passwords are easily cracked. Passwords don’t encrypt the data so it’s not secure enough. GDPR regulations require document encryption when emailing personal information.

Q. How safe is the web site?

A. We don’t hold files on the web site, so there is nothing to hack. All files are downloaded instantly back to your PC’s download directory. The site uses SSL technology.

Q. Why is it free?

A. It’s free for the same reason Google is free. Also, customers using the Logical Office CRM can send encrypted files without using this site. Recipients then use this site to decrypt them.

Q. What kind of encryption is used?

A. The encryption (AES 256 bit) is used by banks and governments. Theoretically any code can be cracked but with current technology it would take millions of years of computing time. As only you and the recipient should have the files and know the key, it’s as safe as possible.

Q. What help can I get?

A. The only adjustment you may require is to allow multiple downloads in your browser. Other than that, there’s not much to go wrong! For that reason, support isn’t generally required, but if you have issues email us.

Q. Is there any restriction on usage?

A. Up to 25 files are encrypted in one drag/drop. You can do this as often as you like.
